These Terms of Service ("Terms") are a legal agreement between YIZE LTD. (operating as ShipNexus — "ShipNexus", "we", "us") and you or the company you represent ("you" or "Customer"). By creating an account or using the Service you agree to these Terms and our Privacy Policy.
If you are signing up on behalf of a company, you confirm that you have the authority to bind that company to these Terms.
ShipNexus provides cloud-based software for fleet and freight operations, consisting of two products:
The features available to you depend on the plan you subscribe to. We may update or improve features at any time, and will give reasonable notice for any significant removals.
Registration. To use the Service you must create an account with a valid email address. You are responsible for keeping your login credentials secure and for all activity that happens under your account.
Multiple users. Your plan may include multiple user seats up to your plan limit. You are responsible for making sure all users on your account follow these Terms.
Security. If you suspect someone has accessed your account without permission, notify us right away at hello@shipnexus.co.
Accurate information. You agree to provide accurate information when signing up and to keep your account details current.
Plans. The Service is offered on a monthly subscription basis. Current plans and pricing are at shipnexus.co/pricing. We will give existing subscribers at least 30 days' notice before changing prices.
Free trial. New accounts receive a 30-day free trial. No credit card is required to start. A paid subscription is required to continue after the trial ends.
Billing. Subscriptions are billed monthly in advance by credit card. By providing payment details, you authorize us to charge your card on a recurring monthly basis.
Upgrades and downgrades. Upgrades take effect immediately. Downgrades take effect at the start of the next billing cycle.
Cancellation. You can cancel any time from your account settings. Access continues until the end of the current billing period. We do not refund partial months.
Failed payments. If a payment fails, we will retry and notify you by email. Accounts with unpaid balances may be suspended until payment is received.
You agree not to use the Service to:
Ownership. All business data you create in the Service — driver records, vehicles, jobs, container bookings, invoices, GPS history — belongs to you.
License to us. You give us permission to store and process your data solely to provide the Service to you. We do not use your business data for any other purpose.
Data export. You can request a full export of your account data at any time. We will deliver it within 10 business days.
Driver location tracking. You are responsible for informing your drivers that their location is tracked during active trips and for obtaining any consent required by law in your location.
The ShipNexus platform — including its design, features, and software — is owned by YIZE LTD. and protected by law. These Terms give you the right to use the Service; they do not transfer ownership of any part of it to you.
We aim to keep the Service available 99.5% of the time each month. We'll announce planned maintenance at least 24 hours ahead. We aren't responsible for outages caused by the internet or other services outside our control.
The Service relies on a few trusted outside providers — for payments, driver notifications, maps, and distance calculations. Using those features means you are also subject to each provider's own terms. ShipNexus isn't responsible for the actions or availability of these outside services.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. GPS location data is delivered on a best-effort basis and may occasionally be delayed or inaccurate. ShipNexus is not liable for any business or safety decisions made based on GPS data.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YIZE LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE FEES YOU PAID IN THE THREE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
You agree to defend and hold YIZE LTD. and its staff harmless from any claims or losses arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any law or third-party right; or (c) any data you submit to the Service.
By you. Cancel any time from your account billing settings.
By us. We may suspend or terminate your access if you seriously breach these Terms or fail to pay fees. We will give reasonable notice except where immediate action is needed to prevent harm.
After termination. Your access ends when the account closes. Your data is retained for 90 days and then permanently deleted, as described in our Privacy Policy.
We may update these Terms at any time. For significant changes we will give account owners at least 14 days' notice by email. Continued use of the Service after the effective date means you accept the updated Terms.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Any dispute we can't resolve informally will be settled by binding arbitration seated in Ontario, Canada, though either party may ask a court for emergency relief to prevent immediate harm. You agree not to take part in a class action against ShipNexus.
